Peak Labs Research: Wholesale and Private-Label Partner Terms (v1)

These terms apply to every wholesale, private-label and dropship order between Peak Labs LLC ("Peak Labs") and the business accepting them ("Partner").

1. Eligibility. Wholesale accounts are for businesses that resell research-use-only materials or that conduct laboratory research. Peak Labs does not supply medical clinics, med spas, telehealth providers, pharmacies, compounding facilities, healthcare practitioners, gyms, or fitness or coaching businesses.

2. Research use only. All products are research-use-only materials. They are not drugs, have not been evaluated by the FDA, and are not for human or animal consumption or use. Partner will market and sell products only for research use. Partner will not sell to any person it knows or has reason to believe intends human or animal use. Partner will not sell to any business listed in Section 1 for client or patient use.

3. Marketing standards. Partner's website, listings, labels, emails and social content will not include: dosing, protocols, reconstitution guidance or calculators; health, disease, body-function or outcome claims; testimonials about use; images of people using or injecting products, or before-and-after images; drug brand names; or bacteriostatic water, syringes or other injection supplies sold or bundled with peptides. Every product page and label will carry a research-use-only, not-for-human-consumption statement. Partner's checkout will include an age gate and a research-use acknowledgment.

4. Partner's responsibility. Partner is the seller to its own customers. Partner is solely responsible for its website, marketing, sales, customer service, taxes, licenses and permits, and for complying with all federal, state and local laws and with the rules of its payment processors, banks, carriers and platforms. Peak Labs' review of Partner's website is for Peak Labs' own purposes. It is not legal advice or approval of Partner's compliance.

5. Private label. Peak Labs applies Partner's labels only from artwork Peak Labs has approved. That artwork must meet Section 3 and show the research-use-only statement, compound name or code, fill, lot number and Partner's business name and contact. Peak Labs may refuse any artwork. Partner warrants that it owns or is licensed to use everything on its artwork. Partner will not use the Peak Labs name or marks without written permission.

6. Certificates of analysis. Peak Labs provides the certificates of analysis it holds for the lots it supplies. Partner may publish them only unaltered and with their original notices, including that they are supplier certificates. Partner will not alter, relabel or misrepresent any certificate or test result.

7. Orders, pricing and payment. All orders are prepaid. Pricing follows the tiers in the Partner portal at the time an order is placed. Peak Labs may change prices or tiers on notice; changes do not affect orders already paid. Peak Labs may decline any order.

8. Shipping, damage and returns. Shipping is within the United States only. Risk of loss passes to Partner when Peak Labs gives the shipment to the carrier. For dropship orders, Peak Labs ships in plain packaging under Partner's name, and Partner handles all contact with its customers. Report damage or shortages within 7 days of delivery, with photos. Peak Labs will replace or credit verified damage or shortages. Opened or unsealed products cannot be returned.

9. Review, suspension and termination. Peak Labs reviews Partner's website before approval and periodically after. Peak Labs may suspend or end Partner's account at any time if it believes Partner has breached these terms. When an account ends, unpaid orders are cancelled and paid, unshipped orders are refunded. Either party may close the account at any time.

10. Indemnification. Partner will defend, indemnify and hold harmless Peak Labs and its owners from claims, losses and costs arising from Partner's marketing, sales, labels, customers or breach of these terms.

11. Warranty and limitation of liability. Peak Labs warrants only that products conform to the certificate of analysis for their lot. There are no other warranties, express or implied. Peak Labs' total liability for any claim is limited to the amount Partner paid for the products involved. Neither party is liable for indirect, incidental or consequential damages.

12. Confidentiality. Wholesale pricing and these account terms are confidential.

13. Changes. Peak Labs may update these terms. A new version applies to orders placed after Partner accepts it in the portal.

14. Governing law. These terms are governed by the laws of the State of Texas.

15. Acceptance. By accepting in the Partner portal, the person accepting confirms they are authorized to bind Partner to these terms.
